1. Cancellation.

By Client. The Client may cancel this Agreement at any time prior to the event. Upon cancellation, the Client will be entitled to a refund of any monies paid, except for the non-refundable retainer. 
 

By DJ. The DJ may cancel this Agreement at any time. If the DJ cancels, it must provide a suitable, replacement DJ, subject to the Client’s approval, which shall be obtained in writing. In the alternative, the DJ shall refund all monies previously paid by the Client, including the non-refundable deposit.
 

In case of emergency, illness, accident, or any act of God, the terms of this contract are null and void. However, DJ will make every possible effort to supply the Client with a conclusion of said event at a prorated fee, based on the amount of time DJ has performed, rounded off to the nearest half hour, or provide service on the rain date TBD.
 

2. Dispute Resolution and Legal Fees.
In the event of a dispute arising out of this Contract that cannot be resolved by mutual agreement, the Parties agree to engage in mediation. If the matter cannot be resolved through mediation, and legal action ensues, the successful party will be entitled to its legal fees, including, but not limited to its attorneys’ fees
 

3. Severability.
In the event any provision of this Agreement is deemed invalid or unenforceable, in whole or in part, that part shall be severed from the remainder of the Agreement and all other provisions should continue in full force and effect as valid and enforceable. 
 

4. Legal and Binding Agreement.
This Agreement is legal and binding between the Parties as stated above. This Agreement may be entered into and is legal and binding both in the United States and throughout Europe. The Parties each represent that they have the authority to enter into this Agreement.
 

5. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the state in which the event is held. Any disputes arising under or related in any way to this Agreement shall be resolved in the courts located within that state, and the Parties consent to the jurisdiction of such courts.
 

6. Promotional Use Clause The Client grants The Goat Audio permission to record audio and/or video during the event and use the footage for promotional purposes, including social media, website, and marketing materials. Any concerns about privacy must be submitted in writing before or within seven (7) days after the event. This does not grant the DJ ownership of third-party content (e.g., speeches, toasts, or copyrighted music). 
 

7. Entire Agreement. The Parties acknowledge and agree that this Agreement represents the entire agreement between the Parties. In the event that the Parties desire to change, add, or otherwise modify any terms, they shall do so in writing to be signed by both parties.
